Business Restructurings

When restructuring your business it is essential that processes are properly documented and that all appropriate legal requirements are followed. Our services are designed to assist you in these complex transactional areas. Our experienced Corporate Legal Services Team is experienced in all sorts of business restructurings, including the following areas:

Purchase of own shares:
A purchase of shares is commonly used by companies to return surplus cash to shareholders or provide an exit route for a shareholder. The purchase can only be implemented out of freely distributable reserves and the total number of shares that may be repurchased is limited. Failure to follow the correct procedures can result in the buyback being void and therefore unenforceable.

Reorganisation of corporate entities:
Corporate entities may be restructured or reorganised by way of mergers, spin-offs or transfer of assets. A merger combines two or more business entities by operation of law, whilst a spin-off allows a company to assign all or part of its assets and liabilities to an acquiring company in exchange for shares to be distributed among the shareholders of the transferring company. A transfer of assets allows a company to transfer all or part of its assets and liabilities to another legal entity by way of a single operation of law.

Change of corporate form:
Through a change of corporate form a company may alter its legal veil while maintaining its economic and legal identity.

Company dissolution and winding up:
When your company is no longer required, perhaps as a result of a business reorganisation or if the company ceases to trade, the company may be liquidated and struck off the Commercial Register.
